Instructor Partner Agreement

Please carefully read the following Terms of Agreement
Before you complete your registration, please carefully read the following Terms of Agreement ("Terms"). These Terms govern your relationship with Prospak Academy ("the Academy," "we," "us") and outline the conditions of your participation as an independent Instructor Partner.
By checking the agreement box below, you are entering into a legally binding agreement with Prospak Academy. If you do not agree to these Terms, you will not be able to register as an Instructor Partner.
1. Your Relationship with Prospak Academy
1.1 Independent Contractor Status
You are registering as an independent contractor, not an employee of Prospak Academy. This means you are not eligible for employment benefits, and you are responsible for your own taxes, levies, and other statutory deductions. This partnership is non-exclusive, and you are free to pursue other professional opportunities.
1.2 Role
Your role is to provide expert, professional instructional services for courses you choose to accept, in line with the Academy's quality standards and curriculum.
2. The Platform and Course Assignment Process
2.1 Free Registration
Instructor registration on our platform is free. After you register, the Academy will review your profile and may require a physical or virtual interview before approving your account.
2.2 Course Assignments
Approved instructors will see available teaching assignments on their platform dashboard. Each assignment will specify the program venue and schedule.
2.3 Your Choice to Accept or Decline
You have full autonomy to accept or decline any assignment based on your availability and interest. An assignment is only confirmed once you have not formally declined it through the platform.
2.4 Declining a Confirmed Assignment
To ensure smooth operations, if you need to withdraw from a course you have already accepted, you must notify the Academy via the platform at least seven (7) days before the course start date.
2.5 Emergencies
If an emergency prevents you from conducting a class, you must contact the Academy's Chief Operating Officer (COO) immediately for guidance and to arrange a substitute 24 hours before the scheduled time.
3. Your Responsibilities as an Instructor Partner
By accepting an assignment, you agree to:
- Deliver the provided curriculum with professionalism and a focus on practical, hands-on learning
- Uphold the Academy's quality standards and create a positive, supportive learning environment
- Administer assessments and provide constructive feedback as required
- Maintain the confidentiality of all Academy materials, student information, and business practices
4. Our Responsibilities to You
The Academy commits to:
- Providing the full, structured curriculum and necessary teaching materials for all accepted assignments
- Managing all student registration, fee collection, and direct communication with schools and parents
- Providing clear logistical details for all classes
- Offering operational and technical support
- Ensuring timely and transparent payment as outlined in Section 5
5. Remuneration and Payment
5.1 Secondary School Program
- Standard Model: You will receive 20% or a share from the fees collected from each student in your assigned class for the term
- Modified Model: If a partner school forgoes its revenue share, your remuneration will be 33.33% of the total fees collected
5.2 Professional Program
You will receive 20% of the net fee paid by each student for the assigned cohort (e.g., 20% of the current ₦150,000 fee).
5.3 Shared Instruction
If multiple instructors teach a single class or cohort, the total remuneration will be distributed proportionally based on contribution, as determined by the Academy.
5.4 Payment Processing
Payments will be remitted to your registered bank account within a specified timeframe (e.g., within 15 days of the end of each month/term) after student fee reconciliation. You will be able to track your earnings on your dashboard.
6. Intellectual Property
All curriculum, course materials, videos, brand assets, and platform technology are the exclusive intellectual property of Prospak Academy. You are granted a limited license to use these materials solely for the purpose of delivering instruction for the Academy. Unauthorized reproduction, distribution, or use is strictly prohibited.
7. Confidentiality
You agree to keep all non-public information about the Academy's business operations, curriculum details, student data, and financial information strictly confidential, both during and after your partnership with us.
8. Non-Competition and Non-Solicitation
By accepting these terms, you acknowledge that you will gain access to Prospak Academy's confidential information, trade secrets, client relationships, and proprietary business strategies. In consideration for this access and the opportunities provided, you agree to the following restrictive covenants:
8.1 Non-Solicitation of Clients
During the term of this Agreement and for a period of twenty-four (24) months immediately following the termination of this Agreement (for any reason), you shall not, directly or indirectly, solicit, engage, or enter into any business relationship with any of the Academy's "Protected Clients" for the purpose of providing services that are the same as or similar to those offered by the Academy.
A "Protected Client" is defined as any school, corporate entity, or business partner that you were introduced to, worked with, or had access to their information as a result of your partnership with the Academy.
This clause does not prevent a client from independently seeking your services, but it strictly prohibits you from initiating contact for business purposes. Any engagement with a Protected Client requires the prior written consent of Prospak Academy.
8.2 Non-Competition
During the term of this Agreement and for a period of twelve (12) months immediately following the termination of this Agreement, you agree not to directly or indirectly own, manage, operate, control, or be employed by any business that is in direct competition with Prospak Academy within the geographical territories where the Academy operates.
A business is considered in "direct competition" if it offers structured ICT/digital skills training programs to secondary schools or professionals using a similar dual-market model.
8.3 Acknowledgment of Reasonableness
You acknowledge that the time and geographical limitations of these covenants are reasonable and necessary to protect the legitimate business interests of Prospak Academy.
9. Term, Termination, and Changes to Terms
9.1 Term
This agreement is effective from the moment you accept these Terms and continues until terminated by either party.
9.2 Termination
You may terminate this agreement at any time by informing the COO through an email to the official email of the Academy. The Academy may terminate this agreement by providing you with thirty (30) days' notice, or immediately if you commit a serious breach of these Terms (e.g., breach of confidentiality, gross misconduct).
9.3 Changes to Terms
Prospak Academy is a dynamic organization, and our processes will evolve. We reserve the right to modify these Terms at any time. We will notify you of any significant changes via email or a notification on your platform dashboard. The new Terms will become effective on the date specified in the notification. Your continued use of the platform and acceptance of new assignments after that date will constitute your acceptance of the revised Terms.
Effective Date
This Agreement is effective as of November 30, 2025 and supersedes all previous agreements.
